1. Who you are contracting with

TechValuator (the "Service") is operated by TechValuator ("we", "us", "our"). By accessing or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.

2. The Service

TechValuator provides AI-generated technology valuation reports based on user-supplied descriptions. Reports use a Discounted Cash Flow methodology and are intended for general informational purposes only. They are not financial, investment, legal, accounting, or tax advice and must not be relied on as such.

3. Accounts

You must provide accurate registration information, keep it up to date, and keep your credentials confidential. You are responsible for all activity under your account.

4. Acceptable use

You must not (a) use the Service unlawfully, fraudulently, or to send spam; (b) infringe anyone's intellectual property; (c) attempt to interfere with or compromise the security of the Service (including malware, probing, or unauthorized scraping); (d) submit content you do not have the right to submit; or (e) use outputs to defame, deceive, or harm others. You are responsible for your prompts, your inputs, and how you use the outputs, including verifying their accuracy.

5. AI outputs

AI-generated valuations may contain errors, omissions, or inaccuracies. They are not a substitute for professional appraisal or due diligence. We make no warranty that outputs will be accurate, complete, or suitable for any particular purpose. You retain ownership of your inputs; you grant us a limited license to process them solely to provide the Service. Subject to your input rights, you may use outputs for your own lawful purposes.

6. Payments and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.

7. Intellectual property

We retain all right, title, and interest in the Service, including its software, design, content, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service within your purchased plan. You may not reverse engineer, resell, or circumvent technical limits.

8. Service availability and warranties

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. We will retain or delete your data in accordance with our Privacy Notice.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
